Terms of Use

1.1You may use the Services only if:

1. (a) you are at least 18 years old and legally capable of entering into a binding agreement;
2. (b) you have authority to accept these Terms on behalf of the organization you represent, if applicable;
3. (c) your use of the Services complies with all applicable laws and regulations; and
4. (d) all information you provide to Sign3 is accurate, complete, and current.

1.2Sign3 may suspend or terminate your access if we reasonably believe that information you have provided is inaccurate, misleading, unauthorized, or otherwise inconsistent with these Terms.

2.1Sign3 provides technology and software services that may include identity verification, user verification, KYC/KYB, fraud prevention, risk assessment, authentication, compliance, APIs, SDKs, analytics, and related functionality. The specific Services available to you may depend on your subscription, account configuration, order form, plan, or other commercial arrangement with Sign3.

2.2Certain Services may require you to provide information about yourself, your business, your customers, users, or other individuals. You are responsible for ensuring that you have the appropriate legal basis, notices, permissions, and consents required to provide such information to Sign3 and to use the resulting Services.

2.3Sign3 may use third-party service providers, databases, infrastructure providers, data sources, and technology partners in connection with providing the Services.

3.1You may be required to create an account or receive credentials to access certain Services. You agree to provide accurate and complete registration information and to keep that information up to date.

3.2You are responsible for maintaining the confidentiality of your passwords, API keys, access tokens, credentials, and other authentication information (“Access Credentials”). You must not share Access Credentials with unauthorized persons and must take reasonable measures to prevent unauthorized access to your account.

3.3You are responsible for all activity occurring through your account or using your Access Credentials, except to the extent caused directly by Sign3’s failure to maintain its own required security controls.

3.4You must promptly notify Sign3 if you believe your account or Access Credentials have been compromised or used without authorization.

4.1Subject to your compliance with these Terms and any applicable order or subscription, Sign3 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable subscription or service period.

4.2You may use the Services only for your legitimate internal business purposes and only within the usage limits and restrictions applicable to your plan or order.

4.3No rights are granted to you except those expressly stated in these Terms.

5.1You agree not to, and not to permit any third party to:

1. (a) use the Services in violation of any applicable law or regulation;
2. (b) use the Services for fraudulent, deceptive, abusive, harmful, or unlawful activity;
3. (c) use the Services to discriminate against individuals on the basis of protected characteristics;
4. (d) reverse engineer, decompile, disassemble, copy, modify, or attempt to derive the source code or underlying technology of the Services, except where expressly permitted by applicable law;
5. (e) bypass or interfere with authentication, security controls, usage limits, or other technical restrictions;
6. (f) introduce viruses, malware, malicious code, or other harmful material into the Services;
7. (g) interfere with or disrupt the operation, integrity, or performance of the Services;
8. (h) use automated systems or scripts in a manner that violates applicable usage limits or adversely affects the Services;
9. (i) resell, sublicense, lease, rent, distribute, or provide unauthorized access to the Services;
10. (j) use the Services to create a competing product or service;
11. (k) misrepresent your identity, authority, affiliation, or the source of information submitted through the Services;
12. (l) use the Services for phishing, spoofing, impersonation, or creation of fraudulent identities;
13. (m) upload or transmit content that is unlawful, defamatory, fraudulent, malicious, or otherwise prohibited by applicable law; or
14. (n) attempt to gain unauthorized access to any Sign3 system, account, network, or data.

5.2Sign3 may investigate suspected violations and may suspend or terminate access where reasonably necessary to protect the Services, Sign3, its customers, users, or third parties.

6.1You are responsible for your use of the Services and for ensuring that such use complies with all applicable laws and regulations.

6.2Where the Services involve personal information, identity verification, KYC/KYB, fraud prevention, or similar activities, you are responsible for determining the legal requirements applicable to your business and obtaining any notices, permissions, authorizations, or consents required from relevant individuals or entities.

6.3You must not use Sign3 to make decisions that are unlawful or discriminatory.

6.4You are also responsible for the accuracy and legality of information submitted to Sign3 and for your own systems, applications, integrations, networks, and infrastructure used to connect to the Services.

7.1If you purchase paid Services, you agree to pay the applicable fees described in your order, subscription, pricing page, or other commercial agreement with Sign3.

7.2Unless otherwise stated, fees are exclusive of applicable taxes, duties, levies, or governmental charges. You are responsible for applicable taxes associated with your purchase or use of the Services, except taxes imposed on Sign3’s net income.

7.3Where applicable, usage above the limits included in your plan may result in additional charges at Sign3’s then-current rates.

7.4Unless otherwise expressly stated in writing, fees paid for Services are non-refundable.

7.5Sign3 may change its pricing, plans, features, or usage limits from time to time. Where required, Sign3 will provide reasonable notice of material changes.

8.1Sign3 and its licensors retain all rights, title, and interest in and to the Services, including all software, technology, APIs, SDKs, documentation, interfaces, designs, trademarks, logos, databases, methodologies, and other intellectual property associated with the Services.

8.2Except for the limited rights expressly granted under these Terms, nothing in these Terms transfers or grants you ownership of any Sign3 intellectual property.

8.3You retain ownership of information and content that you lawfully provide to Sign3 (“Customer Content”). You grant Sign3 the limited rights necessary to host, process, transmit, analyze, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, secure, support, and improve the Services and to comply with applicable law.

8.4Sign3 may use aggregated, statistical, and de-identified information derived from use of the Services for legitimate business purposes, including analytics, security, research, and product improvement, provided that such information does not identify you or an individual where the law requires it to be non-identifying.

9.1Each party may receive confidential or non-public information from the other party in connection with the Services. The receiving party will:

1. (a) use confidential information only for purposes related to the relationship between the parties;
2. (b) protect it using reasonable safeguards; and
3. (c) disclose it only to employees, contractors, affiliates, professional advisers, or service providers who need to know it and are subject to appropriate confidentiality obligations.

9.2Confidential information does not include information that:

1. (a) is or becomes publicly available without breach of these Terms;
2. (b) was already lawfully known to the receiving party;
3. (c) is independently developed without use of the other party’s confidential information; or
4. (d) is lawfully received from a third party without confidentiality restrictions.

9.3A party may disclose confidential information where required by law, regulation, court order, or governmental authority, subject to applicable legal requirements.

10.1Your use of the Services may involve the processing of personal information. Sign3’s collection and use of personal information is described in our Privacy Policy.

10.2Where applicable, additional data processing terms, security terms, or data protection agreements may apply to your use of the Services.

10.3You are responsible for providing any required notices to individuals and obtaining any legally required permissions or consents for your collection and disclosure of personal information to Sign3.

11.1The Services may depend on or integrate with third-party services, databases, infrastructure, or data sources.

11.2Sign3 does not control third-party services and cannot guarantee their availability, accuracy, completeness, or continued operation. Sign3 will not be responsible for failures, delays, inaccuracies, or interruptions caused solely by third-party services or data sources outside Sign3’s reasonable control.

11.3Your use of third-party services may also be subject to separate terms and privacy policies imposed by those providers.

12.1Sign3 will use commercially reasonable efforts to keep the Services available, but does not guarantee that the Services will always be uninterrupted, secure, or error-free.

12.2Sign3 may temporarily suspend or restrict access where reasonably necessary for:

1. (a) scheduled maintenance;
2. (b) emergency maintenance;
3. (c) security investigations;
4. (d) prevention of fraud or abuse;
5. (e) protection of Sign3 systems or customers; or
6. (f) compliance with applicable law or governmental requirements.

12.3Where reasonably practicable, Sign3 will provide advance notice of planned maintenance that is expected to materially affect the Services.

13.1TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

13.2EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, SIGN3 DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, AVAILABILITY, ACCURACY, AND SATISFACTORY QUALITY.

13.3SIGN3 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT INFORMATION OR RESULTS PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR COMPLETE.

13.4SIGN3 DOES NOT PROVIDE LEGAL, TAX, REGULATORY, OR PROFESSIONAL ADVICE THROUGH THE SERVICES. YOU ARE RESPONSIBLE FOR DETERMINING HOW THE SERVICES SHOULD BE USED IN YOUR PARTICULAR BUSINESS OR REGULATORY ENVIRONMENT.

14.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGN3 AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

14.2TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGN3’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

1. (a) THE FEES YOU PAID TO SIGN3 FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

14.3Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

15.1To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sign3, its affiliates, officers, directors, employees, and representatives from claims, damages, liabilities, losses, costs, and reasonable expenses arising out of or relating to:

1. (a) your breach of these Terms;
2. (b) your unlawful use of the Services;
3. (c) your violation of applicable law;
4. (d) your Customer Content;
5. (e) your violation of another person’s rights; or
6. (f) your use of the Services in a manner not authorized by Sign3.

16.1Sign3 may suspend or terminate your access to the Services if:

1. (a) you materially breach these Terms;
2. (b) you fail to pay amounts when due;
3. (c) your use creates a security, legal, regulatory, or operational risk;
4. (d) Sign3 reasonably suspects fraudulent or unlawful activity;
5. (e) continued provision of the Services would violate applicable law; or
6. (f) Sign3 discontinues the relevant Service.

16.2Where reasonably practicable, Sign3 will provide notice before suspension or termination and an opportunity to remedy a material breach.

16.3Upon termination, your right to access and use the applicable Services will end. Provisions that by their nature should survive termination, including provisions concerning intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

17.1Neither party will be responsible for delay or failure to perform its obligations, other than payment obligations, where the delay or failure results from circumstances beyond its reasonable control.

17.2Such circumstances may include natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, government actions, telecommunications failures, internet outages, infrastructure failures, cyber incidents, or failures of third-party providers.

18.1Sign3 may update these Terms from time to time. When changes are material, Sign3 will provide reasonable notice where required by applicable law. The updated Terms will become effective on the date stated in the updated version.

18.2Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

19.1These Terms will be governed by the laws of Haryana, without regard to its conflict-of-law principles.

19.2The courts located in Haryana will have exclusive jurisdiction over disputes arising out of or relating to these Terms, unless applicable law requires otherwise.

19.3Before commencing formal proceedings, the parties will first attempt in good faith to resolve any dispute through discussions between their authorized representatives.

20.1Entire Agreement: These Terms, together with any applicable order form, subscription terms, privacy policy, data processing agreement, and supplemental terms, constitute the agreement between you and Sign3 concerning the Services.

20.2Severability: If any provision of these Terms is determined to be invalid or unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

20.3No Waiver: A failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

20.4Assignment: You may not assign or transfer your rights or obligations under these Terms without Sign3’s prior written consent, except where permitted by applicable law. Sign3 may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.

20.5Independent Contractors: The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship.
